Target Aid AB acquires Swedish lotto betting group Polar Group Technologies AB

(PRESS RELEASE) -- The shareholders of Polar Group Technologies AB have entered into an agreement to sell all shares in the company to Target Aid AB (Publ). Through the transaction, Target Aid acquires all shares in Polar Group Technologies AB and its subsidiaries, which together hold two B2B and two B2C licenses for commercial gaming in Sweden.
Following completion of the transaction, Target Aid AB (Publ) intends to change its name to ImpactWin Group AB (publ) and act as the parent company of the new group.
The aggregate purchase price for the transaction is approximately SEK 140 million, equivalent to roughly EUR 13 million or USD 15 million.

Strategic background and direction for ImpactWin Group
The transaction is part of the strategy to build a unified, specialist group with a clear focus on the sports community, civil society and digital revenue platforms.
ImpactWin Group AB (publ) will operate as the parent company with the ambition to:
- become a modern challenger to traditional association and lotto models,
- offer an integrated digital platform enabling clubs, federations and organizations to create recurring and sustainable revenue streams,
- combine lotto betting products, fundraising solutions and payment flows in a single, coherent ecosystem.
By bringing together strong capabilities in gaming, lotto betting, customer acquisition and payment flows from Polar Group, with Target Aid's platform for digital fundraising, engagement and giving, the new group will be built on three clear pillars:
1. Platform for the sports and non-profit sector
The ImpactWin platform will make it easy for clubs and NGOs to launch campaigns, lotto betting games and recurring revenue models without needing to develop their own technology, licenses or payment solutions.
2. Gaming and lotto betting products with a club focus
Through its licensed B2B and B2C entities, ImpactWin will be able to offer products where part of the surplus is returned to the sports community, while end customers enjoy a safe, regulated and fully digital experience.

Through a dedicated payments and invoicing company, the group will be able to handle recurring payments, subscriptions and payouts to clubs and partners in an efficient and well-controlled manner.
The shared vision is to become the natural platform for clubs and NGOs that want to increase their own revenues, reduce administration, and at the same time meet growing demands for transparency, accountability and regulatory compliance.
ImpactWin Group sees a clear structural trend where the sports and non-profit sector needs more digital and predictable sources of income, the gaming and payments industries are moving towards clearer social impact and ESG, and partnerships between technology, gaming and civil society are becoming increasingly important for the long-term financing of sports, youth activities and non-profit initiatives.
The group intends to grow both organically and through selective acquisitions, with Sweden as its home market and with the ambition to gradually scale its solutions into other markets where organized sports and associations play a strong role. Initial focus will be on the Nordic region and selected European countries with a strong club and federation structure.
